Terms of Service

Draft 9 October 2026 · Bellingcourt Oy

1. Scope and parties

1.1 These terms apply to the use of the Numar service (the Service), provided by Bellingcourt Oy (the Provider). The company or organisation ordering the Service is the Customer.

1.2 The Service is intended for businesses. The Finnish Consumer Protection Act does not apply.

1.3 The agreement consists of these terms, the Service Description, the Data Processing Agreement and the current price list. In case of conflict, they apply in this order: a separately signed agreement, the Data Processing Agreement for personal data, these terms, the Service Description and the price list.

2. Definitions

3. Formation of the agreement

3.1 The agreement is formed when the Customer accepts these terms when ordering, or starts using the Service through an invitation sent by the Provider.

3.2 The person accepting these terms confirms that they are authorised to bind the Customer.

4. The Service

4.1 The Service is described in the Service Description. The Provider develops the Service continuously and may change its features.

4.2 The Provider gives at least 60 days' notice of a change that materially reduces the Service. The Customer may then terminate the agreement effective on the date the change takes effect.

4.3 The Provider may suspend the Service for maintenance, security or legal reasons. Planned breaks are announced in advance and scheduled outside office hours where possible.

5. The Customer's responsibility for its books and filings

5.1 Numar is a tool. As the party obliged to keep accounts, the Customer is responsible for its bookkeeping, financial statements, tax returns and other statutory obligations, their accuracy and their deadlines.

5.2 The Service's AI reads vouchers and proposes entries. All calculations are made by the software, and a User approves every entry. The Customer is responsible for the entries it approves.

5.3 Guidance, proposals and checks in the Service are not tax, legal or audit advice.

5.4 The Customer ensures that Users keep their credentials confidential, that Users have the correct roles, and that the data stored in the Service does not infringe the law or third-party rights.

6. Prices and payment

6.1 The Service is paid for according to the current price list. Prices exclude VAT.

6.2 The Provider charges no per-voucher, per-entry-line or per-user fees unless the price list says otherwise. Third-party costs, such as e-invoice operator message fees, are charged according to the price list and shown in advance.

6.3 The Service is invoiced monthly or annually in advance, payment terms 14 days net. Late payments bear interest under the Finnish Interest Act (633/1982).

6.4 Price changes are announced at least 60 days in advance. The Customer may terminate the agreement effective on the date the change takes effect.

6.5 If a payment is more than 30 days late, the Provider may, after written notice, restrict the Service to read-only access. Customer Data is never deleted because of late payment, and the Customer can always export it.

7. Customer Data

7.1 Customer Data belongs to the Customer. The Provider uses it only to provide and support the Service, for security and for statutory obligations.

7.2 The Provider does not sell Customer Data or use it to train AI models.

7.3 The Customer may export its data at any time, free of charge, in commonly used machine-readable formats. verify A one-click full export is under development (see the Service Description); until then the Provider delivers exports on request free of charge.

7.4 Processing of personal data on the Customer's behalf is governed by the Data Processing Agreement.

8. Security

8.1 The Provider protects the Service and Customer Data with appropriate technical and organisational measures, described in Annex 2 of the Data Processing Agreement.

8.2 The Provider notifies the Customer without undue delay of any security breach affecting Customer Data.

9. Switching to another service

9.1 The Customer may switch to another service in accordance with the EU Data Act (Regulation (EU) 2023/2854). The Provider charges no switching or data export fees.

9.2 The Provider assists with the switch during a transition period of up to 30 days after the notice period ends, unless agreed otherwise. verify

10. Intellectual property

10.1 The Service, its software and documentation belong to the Provider or its licensors. During the agreement the Customer may use the Service in its own business.

10.2 The right of use covers all of the Customer's group companies added to the Customer's Organisation. In a merger, demerger or business transfer the agreement transfers to the continuing company free of charge when the Customer notifies the Provider.

11. Confidentiality

The parties keep the other party's business and trade secrets and the Customer Data confidential. This obligation continues for five years after the agreement ends, and for Customer Data for as long as the Provider holds it.

12. Errors and limitation of liability

12.1 If a calculation rule, statement format or statutory check in the Service contains an error, the Provider corrects it free of charge and assists the Customer with any necessary corrections.

12.2 The Provider is liable only for direct damages caused by its breach of contract. The Provider is not liable for indirect damages, such as lost profit, business interruption or third-party claims.

12.3 The Provider's aggregate liability per calendar year is limited to the amount the Customer paid for the Service during the 12 months before the event causing the damage, excluding VAT. verify

12.4 The limitations do not apply to damage caused intentionally or through gross negligence, or to liability that cannot be limited under mandatory law.

12.5 Claims must be made in writing within six months of when the Customer discovered or should have discovered the basis of the claim.

13. Force majeure

Neither party is liable for delay or damage caused by an impediment beyond its control that it could not reasonably have taken into account when the agreement was made and whose consequences it could not reasonably have avoided, such as a widespread telecommunications or power outage, an order by an authority or a sub-contractor's force majeure.

14. Term, termination and cancellation

14.1 The agreement is valid until further notice.

14.2 The Customer may terminate the agreement to end at the end of the calendar month following the month of notice. The Provider may terminate with three months' notice.

14.3 Either party may cancel the agreement if the other materially breaches it and does not remedy the breach within 30 days of written notice.

14.4 After the agreement ends, the Customer may export its data for 90 days. The Provider then deletes the Customer Data unless the law requires it to be kept or the Customer has ordered separate archiving. verify

14.5 The Customer is responsible for the retention periods under chapter 2, section 10 of the Finnish Accounting Act (1336/1997). The Provider reminds the Customer of them before deleting data.

15. Changes to these terms

The Provider may change these terms by giving at least 60 days' notice. If a change is materially detrimental to the Customer, the Customer may terminate the agreement effective on the date the change takes effect. Changes required by law or an authority may take effect on the date announced.

16. Assignment

The Provider may assign the agreement to a company in the same group or to the transferee of the business by notifying the Customer. The Customer's right to assign in a corporate transaction is set out in section 10.2.

17. Governing law and disputes

The agreement is governed by Finnish law. The parties seek to resolve disputes by negotiation. If that fails, disputes are settled in the Helsinki District Court.
